Acceptance of Terms

These Terms constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you"), and Basicmicro, concerning your access to and use of the Site, our products, and our services. By accessing the Site, placing an order, or accepting delivery of products, you confirm that you have read, understood, and agreed to be bound by these Terms.

Entire Agreement and Order of Precedence

These Terms constitute the entire agreement between you (the "Buyer") and Basicmicro concerning all purchases, products, and services. Any acceptance of Basicmicro's offer is expressly limited to acceptance of these Terms. Basicmicro expressly objects to any additional, different, or conflicting terms or conditions contained in any purchase order, request for proposal, confirmation, acknowledgment, or other document submitted by the Buyer, regardless of when such document is issued.

No Buyer form or document shall modify these Terms, nor shall any course of performance, course of dealing, or usage of trade operate as a modification or waiver of any provision of these Terms.

Important: Basicmicro's processing, fulfillment, or shipment of any order does not constitute acceptance of any terms, conditions, or provisions contained in the Buyer's purchase order or any other document that differ from, add to, or conflict with these Terms. Any such additional or different terms are hereby rejected. No terms or conditions proposed by the Buyer shall become binding on Basicmicro unless expressly agreed to in a separate written contract signed by an authorized representative of Basicmicro.

We reserve the right to update or modify these Terms at any time. Changes take effect when posted, and the "Last Updated" date at the top of this page will be revised accordingly. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

This Site is intended for users who are at least 13 years of age. Users under 18 must have permission from a parent or guardian to use the Site and its services.

Orders and Payment

Order Acceptance and Contract Formation

Your receipt of an order confirmation does not constitute our acceptance of your order or our offer to sell. Basicmicro reserves the right to accept or decline any order at any time, including after confirmation has been sent, for any reason including supply constraints, pricing errors, or suspicious activity.

A binding contract under these Terms is formed only when Basicmicro ships the product(s) or begins performing the requested services, and is limited to the items actually shipped or services initiated. The terms of any such contract shall be exclusively those set forth in these Terms of Service and any other terms published on this website. If we cancel an order after your payment has been processed, we will issue a full refund to your original payment method.

Pricing

We make every effort to ensure product pricing on our website is accurate. In the event a product is listed at an incorrect price due to a typographical or system error, Basicmicro reserves the right to refuse or cancel orders placed at the incorrect price, whether or not the order has been confirmed or payment processed. If payment has already been collected, a full refund will be issued.

Payment Methods

We accept major credit cards and other payment methods as indicated during checkout. There is no surcharge for credit card payments.

Important: Orders can only be shipped to the billing address on file with the credit card used at checkout. We are unable to ship to any other address.

Credit card payment processors require that all orders are shipped to the credit card's billing address. We cannot ship to a separate shipping address, an alternate location, or a third-party address. If the billing address on your card is not the address where you need the order delivered, please update your billing address with your card issuer before placing your order.

Orders placed with a shipping address that does not match the credit card billing address may be delayed or canceled.

Sales Tax

We currently collect and remit sales tax only for orders shipped to addresses within California, as required by state law. For orders shipped to other U.S. states, you are solely responsible for any applicable sales or use taxes. For international orders, any customs duties, VAT, or other taxes imposed by the destination country are the sole responsibility of the Buyer. We do not collect these fees and cannot calculate or predict what charges may apply.

Product Use and Disclaimer

Intended Use

Basicmicro motor controllers and related products are electronic components designed for integration into motors, robotics, automation systems, and similar applications. They are intended for use by individuals with appropriate technical knowledge of electrical systems and motor control.

User Responsibility

You are solely responsible for:

  • Proper installation, wiring, configuration, and integration of our products into your systems
  • Ensuring your use of our products complies with all applicable local, state, national, and international laws, codes, and safety standards

Important: Basicmicro products are not certified for use in life-support systems, safety-critical applications, or environments where a product failure could result in personal injury or death, unless specifically stated in the product documentation. Software and Firmware

License Grant

Basicmicro grants you a limited, non-exclusive, non-transferable, revocable license to download and use our software tools and firmware updates solely in connection with Basicmicro products. This license is for personal and commercial use with our products only.

Restrictions

You may not:

  • Reverse engineer, decompile, or disassemble our software or firmware, except as permitted by applicable law
